Jinghe Integrated: Plans to transfer mask-related technology to Anhui Jingmei for RMB 277 million

Jinghe Integrated announced that the company intends to transfer the mask-related technology developed by itself to Anhui Jingmei Mask Co., Ltd. through a non-public agreement, and the transaction price is determined to be RMB 277 million (excluding tax). At the same time, Anhui Jingmei and its wholly-owned subsidiary Anhui Jingrui Mask Co., Ltd. intend to lease factory buildings and supporting facilities from Jinghe Integrated for a period of 3 years, and the estimated rental fee is within the range of no more than 54.5374 million yuan (including tax). In addition, Jinghe Integrated intends to lease the existing mask production line related equipment to Anhui Jingrui for use in the form of operating lease, and the lease term is also 3 years, and the estimated rental fee is within the range of no more than 383 million yuan (including tax). This transaction still needs to be approved by the relevant state-owned assets department before it can be implemented.
